DayHelm is an AI-powered productivity platform that provides intelligent email management, calendar optimization, task automation, and related productivity tools. The Service processes your data to provide AI-powered insights and automation features.

Payment Terms

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds will be provided for unused portions of your subscription.

The Service and its original content, features, and functionality are owned by DayHelm and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of that software.

We strive to maintain high service availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or technical issues.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAYHELM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless DayHelm and its affiliates from and against any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service or violation of these Terms.

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any violation of these Terms or for any other reason at our sole discretion.

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration.
